1. Acceptance of Terms
By accessing or using Access Register ("the Service"), you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Service.
2. Definitions
In these terms: "we", "us" and "our" mean K M GRILLS PTY LTD, the operator of the Service; "you" and "your" mean the user or organisation using the Service; "Account" means the subscription and associated data held for you; "Content" means data you enter into the Service, including systems, people, access records and review history.
3. Eligibility
You must be at least 18 years of age and have the authority to bind your organisation (if applicable) to these terms. You warrant that all information you provide is accurate and complete.
4. Account Registration and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly of any unauthorised access or breach of security.
5. Subscription Terms
Subscriptions are billed monthly or annually as selected at sign-up. You may cancel your subscription at any time; access continues until the end of the current billing period. We reserve the right to modify subscription plans and pricing with reasonable notice.
6. Payment Terms
Payments are processed securely via Stripe. By subscribing, you agree to pay the fees displayed at the time of purchase. Fees are charged in advance for each billing period. You must provide valid payment details and keep them current.
7. Refunds and Cancellation
Subscription fees are non-refundable. Cancellation prevents future charges but does not entitle you to a refund for any unused portion of the current period.
8. Licence to Use the Service
We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes in accordance with these terms. You must not sublicense, resell, reverse engineer or attempt to extract the source code of the Service.
9. Your Content and Responsibilities
You retain ownership of Content you submit. You grant us a licence to store, process and display that Content as necessary to provide the Service. You are solely responsible for the accuracy, legality and appropriateness of your Content. You must not upload Content that infringes third-party rights or violates applicable law.
10. Acceptable Use
You must not use the Service to: (a) violate any law or regulation; (b) infringe intellectual property rights; (c) transmit malware or harmful code; (d) attempt to gain unauthorised access to our systems or other accounts; or (e) interfere with the operation of the Service. We may suspend or terminate access for breach of acceptable use.
11. Service Availability
We strive for high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice where practicable. We are not liable for downtime caused by factors outside our reasonable control.
12. Data Retention and Export
You may export your data using the tools provided in the Service. Following account closure, we may retain data for a limited period as required for legal, audit or operational purposes, after which it will be deleted in accordance with our data retention policy.
13. Intellectual Property
We retain all rights in the Service, including software, design, branding and documentation. Nothing in these terms transfers any intellectual property rights to you except the limited licence in clause 8.
14. Limitation of Liability
To the maximum extent permitted by law: (a) the Service is provided "as is"; (b) we exclude all warranties, express or implied; (c) our liability is limited to the fees paid by you in the twelve months preceding the claim; and (d) we are not liable for indirect, consequential or punitive damages. Nothing in these terms excludes liability that cannot be excluded by law.
15. Indemnity
You indemnify us against any claims, losses or expenses arising from your use of the Service, your Content, or your breach of these terms.
16. Termination
We may suspend or terminate your access immediately for breach of these terms or for non-payment. You may terminate by cancelling your subscription. Upon termination, your right to use the Service ceases. Clauses that by their nature survive (including 9, 13, 14 and 15) continue to apply.
17. Changes to Terms
We may amend these terms from time to time. Material changes will be notified by posting the updated terms and updating the "Last updated" date. Continued use after changes constitutes acceptance. If you do not agree, you must cease using the Service.
18. Governing Law
These terms are governed by the laws of Australia. Any dispute is subject to the exclusive jurisdiction of the courts of Australia.
